1. Agreement to Terms
By accessing or using the services provided by Chat Genius AI LTD (Company No. 16936938), a company registered in England and Wales with registered office at 128 City Road, London, EC1V 2NX, United Kingdom ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Description
Chat Genius AI LTD provides websites and automation systems that answer, book and follow up on enquiries for trade and service businesses. Our services include but are not limited to:
AI-powered instant lead response systems
Automated appointment booking and scheduling
CRM setup and integration
Lead qualification and nurturing automation
Multi-channel communication systems (SMS, email, chat)
Review generation and reputation management
Social media automation and scheduling
3. Service Packages
We offer the following service tiers:
Basic: Smart website and online form
System: Everything in Basic plus missed call text back, one inbox, AI chat that replies and books jobs, automatic reminders and review requests
Specific deliverables, timelines and pricing are detailed in your service agreement.
4. Client Responsibilities
As a client, you agree to:
Provide accurate and complete information required for service delivery
Grant necessary access to platforms, tools and accounts as needed
Respond to communications within 48 business hours
Review and approve deliverables within agreed timeframes (typically 5 business days)
Comply with all applicable laws and regulations including data protection laws
Not use our services for any unlawful, fraudulent or prohibited purposes
Maintain valid payment methods and ensure timely payment
5. Payment Terms
Payment terms are as follows:
Subscriptions are billed monthly or annually in advance at the beginning of each service period
All fees are in GBP (£) unless otherwise specified
Payments are processed via Stripe and are subject to their terms of service
Late payments (beyond 7 days) may result in service suspension
Prices are subject to change with 30 days written notice
There is no minimum term. You may cancel at any time as set out in the Cancellation section below
6. Cancellation
There is no contract and no minimum term. You may cancel your subscription at any time by emailing [email protected], and no further payments will be taken after the current billing period.
On cancellation the automation services are switched off. Your website content and any reviews you have earned remain yours. Your website remains live for 14 days after your final payment, and you may keep it running indefinitely as a plain site for a one-off fee of £500, which includes the online form.
7. Intellectual Property
Upon full payment, you will own the deliverables created specifically for your business, including custom workflows and content. We retain ownership of our proprietary AI systems, templates, frameworks, processes and methodologies. You grant us permission to use anonymized case studies, statistics and results for marketing purposes unless you opt out in writing within 14 days of project completion.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, customer data, pricing, login credentials and any other sensitive information. This obligation survives termination of the agreement for a period of 3 years.
9. Data Processing
Where we process personal data on your behalf, we act as a data processor under UK GDPR. You remain the data controller. We will process data only in accordance with your instructions and applicable data protection laws. A separate Data Processing Agreement may be provided upon request.
10. Limitation of Liability
To the maximum extent permitted by law, Chat Genius AI LTD shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, business opportunities or goodwill. Our total liability shall not exceed the amount paid by you for services in the preceding 12 months. Nothing in these terms excludes liability for death, personal injury, fraud or any other liability that cannot be excluded by law.
11. Results Disclaimer
We do not guarantee specific outcomes such as revenue increases, lead numbers or conversion rates. Results depend on many factors outside our control, including your market, business model, pricing, service quality and implementation of our recommendations. The £27,000+ figure referenced in our marketing represents the estimated revenue an average service business loses each year to slow lead response, based on industry averages, and is not a guarantee.
12. Termination
Either party may terminate the agreement with 30 days written notice. Upon termination:
You will receive all completed deliverables and access credentials
Outstanding fees remain due
Monthly services will continue until the end of the paid period
We will provide reasonable assistance to transition to another provider
We reserve the right to terminate immediately for breach of these terms, non-payment or illegal activity.
13. Dispute Resolution
Any disputes arising from these terms shall first be attempted to be resolved through good-faith negotiation within 30 days. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. These terms are governed by the laws of England and Wales.
14. Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website with an updated "Last updated" date. We will notify existing clients of material changes via email. Continued use of our services constitutes acceptance of modified terms.
