1. Agreement to Terms
By accessing or using the services provided by Chat Genius AI LTD (Company No. 16936938), a company registered in England and Wales with registered office at 128 City Road, London, EC1V 2NX, United Kingdom ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Description
Chat Genius AI LTD provides done-for-you AI agent systems designed to automate lead response and appointment booking for service businesses. Our services include but are not limited to:
- AI-powered instant lead response systems
- Automated appointment booking and scheduling
- CRM setup and integration
- Lead qualification and nurturing automation
- Multi-channel communication systems (SMS, email, chat)
- Review generation and reputation management
- Social media automation and scheduling
3. Service Packages
We offer the following service tiers:
- Essential: Core AI agent system with instant lead response, appointment booking and basic CRM
- Professional: Full automation suite including review generation, social scheduling and advanced workflows
- Custom: Bespoke enterprise solutions with dedicated support and custom integrations
Specific deliverables, timelines and pricing are detailed in your service agreement.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information required for service delivery
- Grant necessary access to platforms, tools and accounts as needed
- Respond to communications within 48 business hours
- Review and approve deliverables within agreed timeframes (typically 5 business days)
- Comply with all applicable laws and regulations including data protection laws
- Not use our services for any unlawful, fraudulent or prohibited purposes
- Maintain valid payment methods and ensure timely payment
5. Payment Terms
Payment terms are as follows:
- Setup fees are due in full upon agreement signing before work commences
- Monthly hosting and maintenance fees are billed at the beginning of each service period
- All fees are in GBP (£) unless otherwise specified
- Payments are processed via Stripe and are subject to their terms of service
- Late payments (beyond 7 days) may result in service suspension
- Prices are subject to change with 30 days written notice
- Refunds are provided in accordance with our satisfaction guarantee where applicable
6. Satisfaction Guarantee
We offer a 7-day money-back guarantee on all one-time setup fees. If you are not satisfied with your AI system within 7 days of launch, contact us at help@chatgeniusailtd.co.uk and we will issue a full refund of your setup fee with no further questions asked.
The guarantee applies to the one-time setup fee only and does not cover monthly hosting or ongoing service fees. To be eligible, you must have provided the access, accounts and information required for setup as outlined in your service agreement, and must notify us in writing within 7 days of your system going live.
7. Intellectual Property
Upon full payment, you will own the deliverables created specifically for your business, including custom workflows and content. We retain ownership of our proprietary AI systems, templates, frameworks, processes and methodologies. You grant us permission to use anonymized case studies, statistics and results for marketing purposes unless you opt out in writing within 14 days of project completion.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, customer data, pricing, login credentials and any other sensitive information. This obligation survives termination of the agreement for a period of 3 years.
9. Data Processing
Where we process personal data on your behalf, we act as a data processor under UK GDPR. You remain the data controller. We will process data only in accordance with your instructions and applicable data protection laws. A separate Data Processing Agreement may be provided upon request.
10. Limitation of Liability
To the maximum extent permitted by law, Chat Genius AI LTD shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, business opportunities or goodwill. Our total liability shall not exceed the amount paid by you for services in the preceding 12 months. Nothing in these terms excludes liability for death, personal injury, fraud or any other liability that cannot be excluded by law.
11. Results Disclaimer
While we provide case studies and example results, we do not guarantee specific outcomes such as revenue increases, lead numbers or conversion rates. Results depend on many factors outside our control, including your market, business model, pricing, service quality and implementation of our recommendations. The £72,000+ figure referenced in our marketing represents potential revenue recovery based on industry averages and is not a guarantee.
12. Termination
Either party may terminate the agreement with 30 days written notice. Upon termination:
- You will receive all completed deliverables and access credentials
- Outstanding fees remain due
- Monthly services will continue until the end of the paid period
- We will provide reasonable assistance to transition to another provider
We reserve the right to terminate immediately for breach of these terms, non-payment or illegal activity.
13. Dispute Resolution
Any disputes arising from these terms shall first be attempted to be resolved through good-faith negotiation within 30 days. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. These terms are governed by the laws of England and Wales.
14. Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website with an updated "Last updated" date. We will notify existing clients of material changes via email. Continued use of our services constitutes acceptance of modified terms.
